("Real Estate Broker") In consideration of the services and facilities, the Broker is hereby granted the right to represent the Buyer in the acquisition of real property which shall include cooperatives. As used in this Agreement, "acquisition of real property" shall include any purchase, or an agreement to do so. 1. TERM: This Agreement commences when signed and terminates on the ____ day of ___________________, _____. If no termination date is specified, this Agreement shall expire 15 days after date of commencement. 2. BROKER RESPONSIBILITIES: The Agent and Broker agree to: a) Use professional knowledge and skills to locate and present real property which is available for purchase and suitable for the Buyer's needs; b) Assist Buyer through the process of property acquisition; c) If the Broker is not also the Listing broker, represent the interests of the Buyer in all negotiations and transactions regarding the acquisition of real property; and d) Have sole duty and responsibility to give notice of the agency relationship established by this Agreement to any and all parties-in-interest to the above described transaction who may be financially affected by the terms and conditions stated herein, including any listing broker and such corresponding Seller. 3. BUYER RESPONSIBILITIES: a) To work exclusively with Broker during the term of this Agreement; b) To furnish Broker with necessary financial and personal information to reasonably establish Buyer's ability to purchase property; c) That if the Buyer sees any signs or advertisements for properties being offered for sale, Buyer will contact Buyer's Agent for information about the properties and to make arrangements to see those properties; and d) Buyer shall consult with the Broker before visiting any resale or new home or contacting any other agents representing sellers to avoid the possibility of confusion over the agency relationship and misunderstandings about liability for compensation. 4. BROKER COMPENSATION: a) Broker does not charge a retainer fee. b) Buyer agrees to pay to Broker, in cash at settlement, a fee of 3 % (Three Percent) of the purchase price, of any real property purchased by or for the Buyer during the term of this Agreement or within 2 (two) months after termination of this Agreement as to any property shown to Buyer during the Term hereof, regardless of who locates the property , including the Buyer. c) The brokerage fee shall be earned, due and payable when a property is located that is owned by a Seller who is ready, willing and able to sell, or otherwise convey an interest in the property to Buyer upon terms which are acceptable to Buyer as evidenced by Buyer entering into the Contract for the acquisition of real property. The Broker agrees to defer the brokerage fee until the settlement date stated in the contract with Seller, d) Fee Paid By Seller: Broker is authorized to receive compensation either as a portion of the commission offered by the Listing Broker to a Buyer's Broker or paid by the Seller, any such amounts to be applied toward Buyer's obligation under (b) above. The amount of any such payment made by Seller or Listing Broker shall be with the Seller's and Buyer's prior knowledge and consent and shall in no way affect the obligation of the Broker to act as the sole and exclusive agent and fiduciary of the Buyer in the transaction. 5. TERMINATION: This Agreement may be terminated by 3 days written notice by either of the Parties. 6. HONEST DEALING: Buyer understands that the Broker must at all times be honest in dealings with a Seller and Listing Broker and as a REALTORŪ must adhere to the Code of Ethics promulgated by the NATIONAL ASSOCIATION OF REALTORSŪ. The parties agree not to discriminate against any prospective Seller because of race, color, religion, national origin, ancestry, sex, age, marital status, sexual orientation, presence of children, familial status, source of income or physical or mental handicaps. 7. DISCLAIMER AND LIMITATIONS: a) Buyer acknowledges that Broker is being retained solely as a real estate agent and not as an attorney, tax advisor, lender, appraiser, surveyor, structural engineer, certified home inspector or other professional service provider. Buyer has been advised to seek professional advice for legal, tax and other matters. b) Buyer acknowledges that the Broker may represent other Sellers who have similar properties for sale and may represent other buyers who are looking for similar properties as the well as same property Buyer may seek to purchase. c) Buyer agrees that Broker may perform ministerial acts for the FOR SALE BY OWNER properties. A ministerial act is a routine act that does not involve discretion or the exercise of the Broker's own judgement. 8. AGREEMENT AND RECEIPT: This document and attachments contain the full and entire Agreement between Buyer and Broker and supersede any prior or contemporaneous agreements whether written or oral between the parties. Each acknowledges receipt of a copy of this Agreement. This Agreement may not be cancelled or modified except in writing that is signed by the parties hereto.
